The Management Board of CIECH SA declares that on December 27th, 2007 it acknowledged the registration of contribution in kind by the District Court of the capital city of Warsaw, 12th Commercial Division of the National Court Register on December 19th, 2007 made to Soda Polska CIECH Sp. z o.o., with its registered office in Warsaw, by Inowrocławskie Zakłady Chemiczne SODA MĄTWY S.A. and Janikowskie Zakłady Sodowe JANIKOSODA S.A.
Upon contribution in kind of Inowrocławskie Zakłady Chemiczne SODA MĄTWY S.A. and Janikowskie Zakłady Sodowe JANIKOSODA S.A., the share capital of Soda Polska CIECH Sp. z o.o. shall amount to PLN 669,050,000.00 (in words: six hundred sixty nine million and fifty thousand Polish zloty), and is divided into 1,338,100 shares at PLN 500.00, including the shares of SODA MĄTWY S.A. worth PLN 358,025,000.00, making 53.51% of the share capital, and the shares of JANIKOSODA S.A. worth PLN 311,025,000.00, making 46.49% of the share capital of Soda Polska CIECH sp. z o.o.
