The Management Board of CIECH S.A. hereby informs that on 23 December 2008 the company Polskie Konsorcjum Chemiczne Sp. z o.o. (Company) was registered by the District Court of the capital city of Warsaw, 13th Commercial Division of the National Court Register, under the KRS Number 0000319998.
The share capital of the Company stands at PLN 50,000 (1000 shares at PLN 50), CIECH S.A. subscribed all shares. The President of the Management Board is Mr. Ryszard Kunicki. Foundation and registrations of the Company is execution of the resolutions enclosed in the Letter of Intent concerning the acquisition of Anwil S.A., signed on 9 October 2008 by CIECH S.A., Zakłady Azotowe w Tarnowie-Mościcach S.A. (ZAT) oraz Zakłady Azotowe Kędzierzyn S.A. (ZAK), whereabouts CIECH S.A. informed in current report no 64/2008 on 9 October 2008.
According to the resolutions of the Letter of Intent target level of shareholding in the Company is for CIECH S.A. 50%, for ZAT 25% and for ZAK 25%. ZAT and ZAK will take shares after increase of share capital.
