Article 56 section 1 clause 1 of the Public Offering Act – confidential information
With reference to current reports no. 31/2009 dated August 14th, 2009, no. 42/2009 dated November 2nd, 2009 and no. 44/2009 dated December 16th, 2009, as well as no. 3/2010 dated January 22nd, 2010 and no. 6/2010 dated March 5th, 2010, the Management Board of Ciech S.A. hereby informs that on March 16th, 2010 it was informed that a group of 8 banks (Bank DNB Nord Polska S.A., Bank Handlowy w Warszawie S.A., Bank Millennium S.A., Bank Polska Kasa Opieki S.A., BRE Bank S.A., ING Bank Śląski S.A., Powszechna Kasa Oszczędności Bank Polski S.A. and Citibank Europe plc. Dublin – Romania Branch) signed a prolongation of the Contract for Maintenance of the Status Quo until March 31st, 2010r. Until that date, also separate declarations referred to in Current Report no. 31/2009 submitted by: Calyon S.A. Poland Branch, BNP Paribas S.A. Poland Branch and Fortis Bank Polska S.A. were prolonged. The maturity period of the loan given to Ciech S.A. and companies of the Ciech Group by Bank Ochrony Środowiska S.A., HSBC Bank Polska S.A., Kredyt Bank S.A. and Bank BPH S.A was maintained at least until March 31st, 2010. Ciech SA submitted a Declaration to the 15 banks corresponding to the Declaration specified in current report no. 31/2009 dated August 14th, 2009. The said Declaration shall remain in force until the earlier of the following: (i) April 1st, 2010 or (ii) termination date of the Contract on Maintenance of the Status Quo. Any and all capitalised terms shall have meaning as assigned to them in Report no. 31/2009 unless defined otherwise. The submission of the Declaration and execution of the Contract on Maintenance of the Status Quo by the banks lets the company finalise the works related to the establishment of a new structure for financing the Group.
