The Management Board of CIECH S.A. hereby notifies that today, i.e. on November 19, 2008 it received the information that the District Court in Bydgoszcz, XIII Commercial Division of the National Court Register, registered the merger of two companies, i.e. Soda Polska CIECH Sp. z o.o. and SODA-MED Sp. z o.o. Soda Polska CIECH Sp. z o.o. owned 100% of the shares of SODA-MED Sp. z o.o. Soda Polska CIECH Sp. z o.o. was an acquiring company, whereas SODA-MED Sp. z o.o. was an acquired company. The Merger of two companies took place under article 492.1.1 of the Commercial Companies Code with article 516.6 of the Commercial Companies Code taken into account by the assignment of all assets of SODA-MED Sp. z o.o. (acquired company) to Soda Polska CIECH Sp. z o.o. (acquiring company). Due to the fact that the acquiring company was the sole shareholder of the acquired company, and thus the value of assets of SODA-MED Sp. z o.o. was already included in the assets of Soda Polska CIECH Sp. z o.o. (as long-term investments), the merger did not require any increase in the share capital of Soda Polska CIECH Sp. z o.o under article 515.1 of the Commercial Companies Code in accordance with the Plan of Merger that was announced in the Official Journal (Monitor Sądowy i Gospodarczy) No 178/2008, item 11762.
