With reference to current report no. 43/2010 dated August 20th, 2010, the Management Board of Ciech SA [Issuer] informs that on August 27th, 2010 it entered into a Preliminary Sales Contract (Contract) with Marvipol S.A. with its registered office in Warsaw. The subject matter of the Contract involved the obligation of the Issuer and Marvipol S.A. to enter into the final contract for sale of a right of perpetual usufruct of a developed real property. The real property is composed of several plots of land situated in Warsaw with the total area of ca. 1.19 ha, where an office building along with auxiliary infrastructure is located (Real Property). The final contract for sale of the Real Property is to be entered into within 7 working days from the supply of the documentation specified in the Contract by Ciech SA, but not later than by December 15th, 2010. The aforementioned documentation should contain, in particular, the original individual interpretation of the tax law pursuant to Art. 14b of the act of 29 August 1997 Tax Statute, determining the due VAT or exemption from VAT on sales of all or some of the aforementioned plots of land.
