In reference to the Current Report 31/2009 of 14 August 2009 and the Current Report 42/2009 of 2 November 2009, the Management Board of Ciech SA hereby informs that on 16 December 2009 it received an information that a group of 12 banks (Bank BPH S.A., Bank DNB Nord Polska S.A., Bank Handlowy w Warszawie S.A., Bank Millennium S.A., Bank Ochrony Środowiska S.A., Bank Polska Kasa Opieki S.A., BRE Bank S.A., HSBC Bank Polska S.A., ING Bank Śląski S.A., Kredyt Bank S.A., Powszechna Kasa Oszczędności Bank Polski S.A. and Citibank Europe plc. Dublin – Romania Branch – which are parties to the Status Quo Maintaining Agreement) signed an understanding to extend the validity of the aforesaid Agreement to 15 January 2010. Separate statements mentioned in the report 31/2009 and made by the following banks: Calyon S.A. Poland Branch, Nordea Bank Polska S.A., BNP Paribas S.A. Poland Branch and Fortis Bank Polska S.A. were also extended to this date. The Banks signed the understanding after Ciech SA submitted to them the declaration about extension of validity of the Statement presented in the Current Report 31/2009 and in the Current Report 42/2009 to (i) 16 January 2009, or (ii) expiry of the Status Quo Maintaining Agreement, whichever is earlier. Any capitalized terms in this report which are not defined otherwise herein will have the meaning assigned to them in the Report 31/2009. The actions are a part of the process to ensure stable financing of the Ciech Capital Group and keep the involvement of the Banks financing the Group. The extension of the Statement validity and of the Status Quo Maintaining Agreement will allow to continue and complete the works related to establishment of a new Group financing structure.
